Terms of Use / End-User License Agreement (EULA)

1. Agreement Overview
This Terms of Use and End-User License Agreement ("Agreement") is a legal agreement between you ("User", "you") and Celestial Dynamics ("we", "our", or "us"). By accessing or using our Services, you agree to be bound by this Agreement. If you do not agree, please do not use the Services.
This Agreement governs your access to and use of our mobile applications (iOS and Android), our websites, our web-based software and SaaS services, and any subscriptions, content, features, updates, and related services (collectively, the "Services").
If you download or access the Services through a third-party platform such as the Apple App Store or Google Play, this Agreement is between you and Celestial Dynamics only — not with the platform provider. Celestial Dynamics is solely responsible for the Services and their content.
Some Services may require account creation. You agree to provide accurate information, keep your credentials secure, and take responsibility for all activity under your account. We reserve the right to suspend or terminate accounts for violations of this Agreement.
2. License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to download and use our mobile applications on devices you own or control — including Apple-branded Products, Android devices, and other supported platforms — and to access and use our Services, including any web-based services, for personal or internal business purposes. Where applicable, this license is subject to the usage rules of the platform through which you obtained the application, including the Apple Media Services Terms and Conditions for App Store downloads and Google Play Terms of Service for Google Play downloads. This license may extend to other accounts associated with you via Family Sharing, volume purchasing, or equivalent platform features where supported. This license does not transfer ownership. All rights not expressly granted are reserved by Celestial Dynamics.
You may not:
- Copy, modify, reverse engineer, decompile, or create derivative works
- Resell, rent, sublicense, or commercially exploit the Services
- Circumvent subscription or payment mechanisms
- Remove proprietary notices or branding
3. Subscriptions & Payments
Some Services are offered as paid subscriptions, including auto-renewable subscriptions. Before purchasing, you will be shown the subscription title, duration, price, and whether it auto-renews.
Auto-Renewal
Unless canceled at least 24 hours before the end of the current billing period, subscriptions automatically renew at the then-current price.
Price Changes
If we change the price of a subscription, we will notify you with at least 30 days' advance notice before the change takes effect. Continued use after the notice period constitutes acceptance of the new price.
Platform Billing & Refunds
Subscriptions and purchases must be managed and canceled through the platform where they were purchased — Apple App Store, Google Play, or our website. Refunds for purchases made through the Apple App Store or Google Play are handled by the respective platform in accordance with their refund policies. If you are an EU consumer and wish to exercise your statutory right of withdrawal, please contact us at info@cosmic-watch.com and we will assist you.
4. Intellectual Property
Our software, designs, trademarks, and original content are owned by Celestial Dynamics or licensed to us. Our apps also incorporate textures, images, and data from third-party sources, which are credited within the respective app. You may not use Celestial Dynamics' intellectual property without prior written permission. Use of third-party assets is subject to their respective licenses.
5. Acceptable Use
You agree not to:
- Use the Services for unlawful purposes
- Interfere with system security or infrastructure
- Attempt unauthorized access to any part of the Services
- Abuse, harass, or exploit other users
- Upload malicious software or harmful content
6. Privacy & Data Protection
Your use of the Services is governed by our Privacy Policy. In short: we do not collect or store any personal data — the only optional data we gather is fully anonymous analytics to help us improve our apps.
Child Safety
Our Services are designed to be safe and suitable for all ages. We do not collect any personal information from any user, regardless of age. Anonymous, opt-out analytics in Cosmic Watch contain no names, identifiers, or any data that could identify an individual. Children can use our Services safely without any data privacy risk. Users of all ages are welcome, and we encourage parents and guardians to explore our apps together with younger children.
GDPR
If you are located in the European Union or European Economic Area, you have rights under the General Data Protection Regulation (GDPR), including the right to access, correct, and request deletion of your personal data. Our Privacy Policy explains how we handle your data in compliance with applicable data protection law.
7. App Store Compliance
A note on app stores: Apple and Google distribute our apps but are not responsible for them — if you ever have an issue, we're your point of contact, not the app store.
If you download our application from the Apple App Store, you acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the application. Apple is not responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. Apple is a third-party beneficiary of this Agreement and, upon your acceptance of these terms, will have the right to enforce this Agreement against you as a third-party beneficiary.
Apple and Google are not responsible for any claims relating to our applications, including intellectual property claims or product liability claims.
8. Disclaimers & Liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE UNINTERRUPTED ACCESS, ERROR-FREE OPERATION, COMPLETE ACCURACY OF CONTENT, OR FITNESS FOR A PARTICULAR PURPOSE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES.
To the maximum extent permitted by applicable law, Celestial Dynamics shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim arising under this Agreement shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
Nothing in this Agreement limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.
In the event of any failure of the application to conform to any applicable warranty, you may notify the platform through which you obtained the application. If you obtained the application through the Apple App Store, you may notify Apple and Apple will refund the purchase price for the application to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the application. If you obtained the application through Google Play, refunds are handled in accordance with Google Play's refund policies. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are Celestial Dynamics' sole responsibility.
9. Legal Compliance
By using our Services, you represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
10. Third-Party Terms
When using our Services, you must comply with any applicable third-party terms of agreement. For example, you must not be in violation of your wireless data service agreement when using our mobile applications, and you must comply with the terms of any platform through which you access our Services, including the Apple Media Services Terms and Conditions, Google Play Terms of Service, and the terms of any browser or web platform used to access our web-based services.
11. General
We may update the Services, modify features, or update this Agreement at any time. Material changes will be communicated appropriately. Continued use after changes constitutes acceptance of the updated Agreement.
We shall not be liable for any delay or failure to perform our obligations where such failure results from events beyond our reasonable control, including natural disasters, acts of government, power failures, or failures of third-party service providers.
We may suspend or terminate your access if you violate this Agreement. You may stop using the Services at any time. Sections relating to intellectual property, disclaimers, liability, and governing law survive termination.
If any provision of this Agreement is found unenforceable, the remaining provisions continue in full force. This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Celestial Dynamics regarding the Services. You agree to comply with all applicable export and re-export control laws and regulations.
12. Governing Law & Contact
This Agreement is governed by the laws of Switzerland, without regard to its conflict of law provisions, unless otherwise required by local consumer protection laws in your jurisdiction. Disputes shall be submitted to the exclusive jurisdiction of the courts of Zurich, Switzerland, unless mandatory consumer protection laws in your jurisdiction require otherwise. EU consumers may also have the right to submit a dispute to an alternative dispute resolution (ADR) body.
